As described next, FocoAsset may also act as a real estate agent or broker for the Seller or Buyer in relation with the sale of any listed Property.

Performance of FocoAsset as the User's real estate agent or broker FocoAsset may also act as the User's real estate agent or broker in relation with the sale of a Property included in an Ad. If you are a User and you want FocoAsset to represent you as your agent or real estate agent, You agree to notify FocoAsset in writing or through a communication method presented to you through the Services, and if FocoAsset agrees to represent you, you will be asked to sign a representation contract with FocoAsset that will govern the terms of the real estate agent / intermediary relationship between you and FocoAsset. We do not perform background checks on Sellers on a routine basis, but we reserve the right to do so at our discretion, for which you agree to cooperate with us and provide us with all the information and fill out the necessary forms that we request in the event that we decide to conduct a verification of background. We are not responsible for any damages or losses that result from your communications or interactions with Buyers or other Sellers, whether through the Services or otherwise. Sellers are not employees, agents or contractors of FocoAsset, but are independent persons outside of FocoAsset who wish to post advertisements and connect with Buyers.

Unless something different is expressly provided in a Representation Agreement with FocoAsset, you agree that any legal recourse or liability that you seek to obtain for actions or omissions of the Buyer or other third parties with respect to the Ads or any Sale Contract granted with a Buyer to The purchase of a Property will be limited to a claim against the particular Buyer or other third parties, which caused you damages and you agree not to attempt to make a claim for damages against FocoAsset, nor to file any legal recourse from FocoAsset with respect to such actions or omissions. Your Obligations as a Seller When you create an Ad, you will need to send us information about the Property, including but not limited to pictures, general information about the property, and information about tenants and leasing. You hereby grant FocoAsset a license to use such information to operate the Services. Please see the section below titled "Rights to Content Granted by You". It is important that such information is complete and accurate, and we do not verify such information or the User Content that you provide to us through the Services for your Ads. You agree that you are responsible for all Ads that you post and for keeping the information in the Ads up to date, including up to the date of sale of the Property. "Additional Property Information" means information about the Properties included in the Ads, including, but not limited to, appraisal estimates, inspections, pest reports, conditions, repairs, cost estimates, financial estimates, neighborhood information, photographs, lease verification, property management terms, title, permits, and lien information, which we obtain from a variety of sources. This additional proprietary information is authorized by users under the section below titled "Rights in Content Granted by FocoAsset ". Absence of Buyer Verification and Diligence We do not endorse any Seller or Seller Ads. We are not required to perform background checks on any Seller, but we may do so at our discretion. Sellers are not employees, agents or contractors of FocoAsset, but are independent persons or entities who wish to connect with Buyers. FocoAsset is not responsible for any damages resulting from your communication or interaction with Sellers or other Buyers. We may, on behalf of the Seller, provide Additional Property Information to Buyers through the Services on a Seller's List, however, FocoAsset does not guarantee that the Additional Property Information is accurate or complete or that it is up-to-date. .

You acknowledge and agree that we are not acting, directly or indirectly, as your real estate agent or broker, contracting agent or other representative. Regardless of whether or not you have entered into an intermediary Agreement, as a Buyer, you agree that the Seller will ask you to enter into a Sale Agreement with him to purchase the desired Property and accept any terms, conditions, rules and restrictions imposed by the Seller. Content and content rights For the purposes of these Terms: (i) "Content" means data, text, graphics, images, music, software, audio, video , works of authorship of any kind, and information or materials that are published, generated, provided, or otherwise available through the Services, including Additional Property Information; and (ii) "User Content" means any Content that Users provide to be available through the Services, including Ads posted by Sellers. Content includes, without limitation, User Content.

Content Ownership FocoAsset does not claim any ownership rights in any User Content and nothing in these Terms will be deemed to restrict the rights you may have to use and exploit your Content of the User. Subject to the foregoing, FocoAsset and its licensors are the exclusive owners of all rights, titles and interests in the Services and Content, including all associated intellectual property rights. You acknowledge that the Services and Content are protected by copyright, trademark, and other applicable laws. You agree not to remove, alter, or conceal any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services or Content.

Rights in User Content Granted by You You hereby grant FocoAsset a non-exclusive, transferable, sublicensable, worldwide, perpetual, royalty-free license to (i) use, copy, modify (for formatting purposes only), publicly display, publicly perform and distribute your User Content online. with the operation and provision of the Services for you and for other Users; and (ii) use, copy and store any Content that we obtain from your property manager.

You represent and warrant that you own all of your User Content or that you own all rights that are necessary to grant us the license rights in your User Content under these Terms.

You can remove your User Content, including an Ad, by specifically removing it, through the functionality of the Services. However, in certain cases, some of your User Content (such as posts or comments you make) may not be completely removed and copies of your User Content may continue to exist on the FocoAsset services. We are not responsible for the removal or non-removal of your User Content.

Rights granted by FocoAsset to the User on the Content Subject to your compliance with these Terms, FocoAsset grants you a non-commercial, limited, non-exclusive, non-transferable and non-sublicensable license to access , view and print the Content only in connection with a Permitted Use of the Services. General prohibitions You agree not to do the following:

We do not guarantee that the Services will meet your requirements or that they will be available uninterruptedly, securely or error-free or with respect to the quality, accuracy, currency, veracity, integrity or reliability of any content or publication. You agree to take reasonable precautions in all communications and interactions with Users with whom you communicate or interact, as a result of using the Services, particularly if you decide to meet online or in person.

You will indemnify, defend and hold FocoAsset and its officers, directors, employees and agents harmless from and against each and every one of the claims, disputes, demands, liabilities, damages, losses and costs and expenses, including, but not limited to, reasonable legal and legal aspects. accounting charges that arise or are related in any way to (i) your access to or use of the Services (ii) your User Content; (iii) your violation of these Terms; (iv) your failure to comply with applicable law in connection with your publication of Listings and sale of Properties if you are a Seller, or your purchase of Properties if you are a Buyer; or (v) the acts or omissions of the third party property manager, real estate broker, agent, lender or title or escrow company.

These Terms constitute a complete and exclusive agreement between FocoAsset and you regarding the Services, these Terms supersede and supersede any prior oral or written understandings or agreements between FocoAsset and you regarding the Services. If any provision of these Terms is found to be invalid or unenforceable, that provision will be applied to the fullest extent permitted and the other provisions of these Terms will remain in full force and effect. The non-performance or failure of FocoAsset to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
